The InOut Control platform is exclusively intended for companies that have acquired valid licenses for its use. By accessing or using our services, the company declares that it has the legal capacity to accept and comply with these terms and conditions.
Acceptable Use of Our Services
Legal and Acceptable Use: Users are required to comply with all applicable laws, regulations, and policies in connection with their use of our services. The use of our services for illegal, fraudulent, malicious, or harmful purposes is not allowed. Any violation of these terms may result in the immediate termination of the user’s access to our services and, if necessary, legal action against them.
Maintaining Account Security: InOut Control makes significant efforts to ensure the security of user accounts. However, account security also depends on the user’s responsibility. Upon registering on our platform, users are provided with unique access credentials, such as a username and password, which must be treated with the utmost confidentiality and can be changed as desired.

Disclaimers and Limitations of Liability
InOut Control is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that our platform is secure, error-free, free of viruses or other harmful elements, or that defects will be corrected. We are not responsible for any interruption or loss of access to our platform. Additionally, we do not guarantee the accuracy, completeness, timeliness, or quality of any information, content, service, or product provided or available through our platform. Users assume all risk of loss or damage associated with the use of our platform and any content therein. We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use our platform or any content therein, or from any error, omission, interruption, defect, delay in operation or transmission, computer virus, or system failure, even if we have been advised of the possibility of such damages. The exclusion of certain warranties or the limitation of liability may not be applicable in some jurisdictions, so some of the above exclusions and limitations may not apply to all users.
Limitation of Liability
InOut Control shall not be liable to the user or any third party for any indirect, incidental, special, consequential, or exemplary damages arising from the use of our services, even if we have been advised of the possibility of such damages. This includes, without limitation, any loss of profits, loss of data, business interruption, or costs of acquiring substitute services that may result from the use or inability to use our services, whether the damages are based on contract, tort, negligence, strict liability, or otherwise. Our total liability to the user for all claims related to the use of our services shall not exceed the amount paid by the user to InOut Control in the two months prior to the date the claim arises. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply in all cases.
Indemnification
The user agrees to indemnify, defend, and hold harmless InOut Control, its affiliates, directors, employees, agents, and representatives from and against all claims, demands, liabilities, damages, losses, costs, and expenses, including, without limitation, legal and accounting fees, arising out of or related to the user’s use of our services, the user’s violation of these terms, the user’s violation of any third-party rights, including, without limitation, copyright, privacy, or intellectual property rights, or any allegation that the content the user submits to InOut Control violates the rights of a third party. This indemnification obligation shall survive the termination of these terms and the user’s use of our services.
Other Provisions:
Applicable Law and Jurisdiction: These terms and conditions are governed by and interpreted in accordance with the laws of Ecuador. Any dispute arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of that country.
Severability: If any provision of these terms and conditions is deemed invalid or unenforceable by a competent court, such provision shall be removed, and the remaining provisions shall remain in full force and effect.
Modification of Terms: We reserve the right to modify these terms and conditions at any time. Any changes will be communicated to users in advance and will take effect on the date indicated in the notice. Continued use of our services after the modified terms come into effect constitutes acceptance of those terms by the user.
Third-Party Rights: Nothing in these terms and conditions shall be construed as conferring rights on third-party beneficiaries. Only the parties mentioned in these terms and conditions shall have the right to enforce their provisions.
